1. The Parties

This Memorandum of Understanding (MOU) is made between Global Helping Hands (registered charity no. 1190360, the "Charity") and the partner organisation named below (the "Partner"), following the Partner's successful due-diligence assessment.

It is an overarching agreement covering our whole working relationship — it applies to all projects and programmes the Partner delivers for the Charity, in every location. You only sign it once. The specific projects, deliverables and budgets are agreed separately under this MOU (in a project funding request / schedule) and do not need a new MOU each time. This agreement runs for three (3) years and must be renewed before it expires.

3. Term of this Agreement

This MOU runs for 3 years from this date.

Term: This MOU is valid for three (3) years from the start date above and must be reviewed and renewed before it expires. During the term you will provide monitoring reports (see below) at least annually. Either party may end it earlier under the termination clause.

5. Agreement Terms

5.1 The Charity (Global Helping Hands) will: advance funds for each agreed project in line with its agreed budget and in a timely manner; provide reasonable technical and implementation support; carry out monitoring (including site visits where appropriate); and communicate any changes to reporting or procedures.

5.2 The Partner will: deliver each funded project using its reasonable endeavours and in line with the agreed plan and budget; cooperate with the Charity; use all funds only for the project they were given for and for no other, improper or unlawful purpose (including, without limitation, money laundering, bribery, or supporting terrorist activity, whether in the UK or the Partner's country of operation); carry out due diligence on, and put written agreements in place with, any sub-contracted local partner; and facilitate the Charity's monitoring and site visits.

5.3 Financial standards: for every project the Partner will keep funds ring-fenced and separately identifiable; maintain full and proper financial records (with supporting receipts) for at least 6 years; ensure transactions are properly authorised; account for exchange-rate differences; and return or agree the treatment of any underspend. The Charity may withhold or suspend any undisbursed funds where it has reasonable concern about their use. It may reclaim funds already disbursed only where a review establishes that those funds were not applied to the agreed project, were otherwise misused, or where the Partner cannot provide adequate records to evidence their proper application; funds already properly spent on the agreed project are not subject to reclaim.

5.4 Monitoring & reporting: the Partner will submit narrative and financial reports at the frequency selected above (and at least annually), covering the funded work, in the format requested, and will report any serious incident promptly.

5.5 Safeguarding & policies: the Partner will protect children and vulnerable adults its work reaches, apply appropriate staff/volunteer checks, and maintain relevant policies (safeguarding/child protection, health & safety, finance) available to the Charity on request.

5.6 General: the Charity may withhold funds or terminate this MOU on reasonable notice (or immediately for serious breach, misuse of funds, or safeguarding/terrorism concerns). Where the Charity terminates other than for the Partner's serious breach, misuse of funds, or safeguarding/terrorism concerns, the Partner may retain and apply funds already committed in good faith to work in progress or to binding obligations entered into under an agreed project and evidenced in writing, subject to the Partner accounting for those funds. Neither party is liable for failure caused by events beyond its reasonable control (force majeure). Each party keeps the other's information confidential. Any use of the Charity's name or logo needs prior written consent. Disputes will first be resolved by discussion in good faith between the parties.

5.7 Variation: the agreed plan and budget for any project may be varied only by written agreement between the parties. Where, due to inflation, price escalation, currency movement or other circumstances outside the Partner's reasonable control, the agreed funds become insufficient to deliver the agreed outputs in full, the Partner will notify the Charity promptly and the parties will agree in writing either (a) additional funding (at the Charity's sole discretion and subject to available funds), (b) proportionately reduced deliverables, or (c) another reasonable adjustment. Any varied work remains subject to the terms of this MOU. Delivery of the varied outputs shall fully discharge the Partner's obligations for that project.
