      Partner’s obligations

      1. To comply with the Charity Commission financial reporting requirements, and to request the funds required to implement the project in accordance with the budget.
      2. To facilitate visits to the project, in accordance with the visit and reporting schedule if needed.
      3. To use its reasonable endeavours to ensure that no funds provided under the agreement are used for any purpose other than the project, or for any improper purposes, or purposes unlawful in the UK or the Partner’s country of operation, including money laundering, supporting terrorist activity, inappropriate private benefit, or for political purposes; nor to assist or be in contact with any person suspected of such activities; and to report any such suspicions to the Charity as a matter of urgency.
      4. In the event of the Partner sub-contracting any aspect of the project to local partners, the Partner must Ensure successful collaboration with local partners by thoroughly vetting their suitability, establishing comprehensive written agreements reflecting key terms, and consistently monitoring their project implementation.
      5. If the project involves long-term projects such as building schools, orphanages, community centres, houses, villages, and wells, the partner will endeavour to support the stabilisation of land ownership. This includes assisting in efforts to prevent the eviction of residents and the takeover of buildings. Additionally, it involves facilitating the process of establishing the land as a Waqf by assisting with government paperwork and efforts to confirm the land's status. However, it's important to note that the partner does not assume legal responsibility for the permanence of ownership.

      Force Majeure

      In recognition of unforeseen events beyond the Partner's control, such as acts of God, political instability, and significant economic changes, which may impact the Partner's ability to fulfil its contractual obligations under the terms agreed upon.

      1. ⁠Notification: The Partner must inform the GHH promptly of any Force Majeure Event affecting contract performance, including potential impacts and mitigation efforts.
      2. Review and Adjustment: The Parties will negotiate in good faith to modify contract terms, including prices, schedules, and quantities, to address the impacts equitably.
      3. To carry out monitoring visits on dates as set out in the visit and reporting schedule  or where the Charity otherwise considers such a visit is reasonably required, and has given the Partner reasonable notice in advance of the visit.
      4. ⁠Effort to Continue: The Partner commits to making reasonable efforts to continue performance and minimize impacts on GHH.
      5. To give reasonable consideration and a prompt response to requests from the Partner for adjustments to the budget, or the project activities, or phasing of income and expenditure, or project deliverables, or timescales under the agreement, or for the use of unspent funds.
      6. Termination Option: If a Force Majeure Event persists and significantly alters the contract's purpose, either Party may terminate the contract, subject to a fair settlement for work done and costs incurred up to termination.

      The charity’s responsibilities and obligations (GHH)

      1. To provide ongoing assistance to the Partner in implementing the project within the limitations of resources and funding at its disposal for these purposes.
      2. To advance funds in accordance with the agreed budget to the Partner in a timely manner to a bank account nominated by the Partner.
      3. To carry out monitoring visits on dates as set out in the visit and reporting schedule  or where the Charity otherwise considers such a visit is reasonably required, and has given the Partner reasonable notice in advance of the visit.
      4. To make available to the Partner assistance from appropriate and qualified personnel to provide expert technical advice on the project, whose fees will be funded by the Partner in accordance with the budget.
      5. To give reasonable consideration and a prompt response to requests from the Partner for adjustments to the budget, or the project activities, or phasing of income and expenditure, or project deliverables, or timescales under the agreement, or for the use of unspent funds.
      6. To inform the Partner in a timely manner of any changes to the financial, procedural, or reporting requirements for the project. In the event that changes requested by GHH result in project impacts such as budget or time, GHH will cover these accordingly.

      Media Terms and Conditions

      1. The partner will provide, upload, and email the invoice/proposal beneficiary report to the Google Drive provided by Global Helping Hands.
      2. All videos must be submitted in either MP4 or MOV format, Pictures should be provided in PNG, HEIC or JPG format.
      3. After the completion of each project, the Partner shall furnish a comprehensive report detailing the project's location and the number of beneficiaries.
      4. All personnel, including staff and volunteers, participating in the project must wear GHH branded T-shirts or High Vis Vests. Furthermore, all videos and photographs must prominently feature GHH banners and logos, adhering strictly to the designated brand color code #3442ad, without any exceptions.
